1. Introduction and Parties

These Terms of Use ("Terms") govern the relationship between you ("User") and SwiftAd.ai ("Company," "we," "us"), operated under the Opor group. By accessing or using the SwiftAd.ai platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not use the Platform.

2. Service Definition

SwiftAd.ai is an AI-powered Software-as-a-Service (SaaS) platform designed for the creation, generation, and optimization of advertising content. Our services include, but are not limited to, AI-driven ad creative generation, visual content production, ad copy writing, creative scoring, and ad performance optimization tools. The Platform leverages artificial intelligence models to assist users in producing marketing and advertising materials.

3. Membership and Account Security

3.1 Registration

To use the Platform, you must create an account by providing accurate, complete, and up-to-date information. You must be at least 18 years of age or the age of legal majority in your jurisdiction. By registering, you represent and warrant that all information provided during the registration process is truthful and belongs to you.

3.2 Password and Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately of any unauthorized access to or use of your account. The Company shall not be liable for any loss or damage arising from your failure to safeguard your account information.

3.3 Account Suspension and Termination

The Company reserves the right to suspend, restrict, or terminate your account at any time, without prior notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or posed a security risk to the Platform or other users.

4. License and Intellectual Property Rights

4.1 Platform Rights

All intellectual property rights in and to the Platform, including but not limited to its software, design, logos, trademarks, AI models, algorithms, and documentation, are and shall remain the exclusive property of SwiftAd.ai and the Company. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited, non-exclusive, non-transferable, revocable license to use the Platform in accordance with these Terms.

4.2 User Content Rights

You retain ownership of the content you create using the Platform, including generated ad creatives and visual materials, for as long as your subscription remains active. You are granted a license to use, download, and distribute the content you generate through the Platform for your commercial and personal purposes. Upon termination or expiration of your subscription, your license to newly generate content ceases, though you may continue to use content previously generated during your active subscription period.

5. Prohibited Activities

You agree not to use the Platform for any unlawful, harmful, or prohibited purpose. Without limitation, the following activities are strictly prohibited:

• Creating, distributing, or promoting illegal, obscene, defamatory, hateful, or otherwise objectionable content.
• Reverse engineering, decompiling, disassembling, or attempting to derive the source code of any part of the Platform, including its AI models and algorithms.
• Attempting to gain unauthorized access to the Platform, its servers, networks, or databases (hacking), or interfering with the proper functioning of the Platform.
• Using automated bots, scrapers, or other means to extract data from the Platform without prior written consent.
• Impersonating another person or entity, or misrepresenting your affiliation with any person or entity.

6. Disclaimer of Warranties

6.1 AI Nature of the Service

The Platform utilizes artificial intelligence technology to generate content. AI-generated outputs may contain inaccuracies, errors, or unexpected results. The Company does not warrant or guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content for any particular purpose. The Platform is provided on an "as is" and "as available" basis.

6.2 Legal Responsibility

The User bears full legal responsibility for any content created, published, or distributed using the Platform. It is the User's sole responsibility to ensure that all generated content complies with applicable laws, regulations, advertising standards, and intellectual property rights. The Company shall not be held liable for any claims, damages, or legal consequences arising from the User's use of AI-generated content.

7. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Istanbul Courts and Enforcement Offices.
